Kimbel Contracting Authority

Kimbel Mechanical Systems, Inc. has specific policies and procedures regarding contracting authority and the execution of contracts on Kimbel’s behalf. Any contract executed in violation of Kimbel’s policies and procedures will be deemed VOID and shall have no binding effect on Kimbel Mechanical Systems, Inc. Kimbel regularly enters into and executes two distinct classes of contracts: (1) Revenue Generating Contracts and (2) Non-Revenue Generating Contracts. The requirements for valid execution of each class of contracts are as follows:

Revenue Generating Contracts are those contracts typically related to construction projects, whereby Kimbel Mechanical Services, Inc. is contracted to complete specific services. All Revenue Generating Contracts and Trade Agreements between Kimbel Mechanical Systems Inc. and its customers must be signed by TWO authorized Kimbel employees as follows: The first signatory must be a Kimbel Director or Company Officer.

The second signatory must be a Kimbel Company Officer. Kimbel’s Company Officers include: CEO, COO, CFO, CIO, CAO, Presidents of Commercial/Market Housing, Vice Presidents of Commercial/Market Housing, and President of Supply Chain. The execution of a revenue generating contract by a Company Officer does not alleviate the requirement to have a second signatory. Any Revenue Generating Contract signed in violation of the foregoing policy will be considered VOID and shall have no binding effect on Kimbel Mechanical Systems, Inc.

Non-Revenue Generating Contracts are those contracts whereby Kimbel Mechanical Systems, Inc. contracts another party to provide specific services. These may include, but are not limited to, lease agreements, cleaning contracts, service contracts, software agreements, temporary labor contracts, lien releases, equipment rental agreements, etc. All Non-Revenue Generating Contracts with a duration less than one (1) year may be executed by either a Kimbel Company Officer (listed above) or a Kimbel Director. All Multi-Year Non-Revenue Generating Contracts must be executed by a Kimbel Company Officer. Any Non-Revenue Generating Contract signed in violation of the foregoing policy will be considered VOID and shall have no binding effect on Kimbel Mechanical Systems, Inc.
